These Terms of Service (“Terms”) govern your access to and use of nuvishr.com and any related content, tools, and services provided by Nuvis Solutions LLC(“Nuvis,” “we,” “us,” or “our”) (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

Nuvis provides AI-powered HR and talent solutions and related informational content. The website is provided for general information and to let you learn about and request our services. Any professional engagement between you and Nuvis is governed by a separate written agreement, and nothing on this website constitutes an offer, a contract for services, or professional, legal, or financial advice.

We may add, change, suspend, or discontinue any part of the Services at any time without notice.

The Services are intended for businesses and professionals and are not directed to children under 16. Where the Services allow you to submit information or create an account, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for any activity that occurs under your account and for keeping your credentials confidential.

You agree not to:

• Infringe the intellectual property, privacy, or other rights of Nuvis or any third party;

The Services and all associated content — including text, graphics, logos, the Nuvis name and marks, software, and design — are owned by Nuvis or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal, non-commercial evaluation and business purposes, subject to these Terms.

You may not copy, reproduce, distribute, modify, create derivative works from, or publicly display any part of the Services without our prior written consent, except as expressly permitted here.

When you submit information, messages, or materials through the Services (for example, a consultation request), you retain ownership of your content, but you grant Nuvis a worldwide, non-exclusive, royalty-free license to use, store, and process it for the purpose of operating the Services and responding to you. You represent that you have the rights necessary to provide that content and that it does not violate these Terms or any law.

The Services may reference or link to third-party sites and platforms, including our workforce skills intelligence platform Najaba (najaba.ai). We do not control and are not responsible for third-party content, products, or practices, and your use of them is governed by their own terms and policies.

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Nuvis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or that any information provided is accurate, complete, or current.

To the fullest extent permitted by law, Nuvis and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total aggregate liability for any claim relating to the website Services will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify and hold harmless Nuvis and its affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with your use of the Services, your submissions, or your breach of these Terms.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Travis County, Texas will have exclusive jurisdiction over any dispute arising from these Terms or the Services, and you consent to their jurisdiction and venue, except where prohibited by applicable law.

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after an update means you accept the revised Terms.
